Partner Opportunity Registration Terms and Conditions




Why Participate in Opportunity Registration?

Symantec.cloud encourages participation in the Opportunity Registration program in order to help assure no direct bids are placed on Opportunities and to motivate and support collaboration through identifying and working jointly to close incremental new business.


How does the Opportunity Registration process work?

Step 1 - Complete the Opportunity Registration form to register the Opportunity with Symantec.cloud.

Step 2 – Symantec.cloud will review the Opportunity and contact the Partner via email to confirm if the Opportunity has been accepted or rejected within 5 days of submission.

Step 3 - If Symantec.cloud accepts an Opportunity Registration, then the Partner will be contacted to agree what resources are required to progress the Opportunity.

Step 4 - A Registered Opportunity is valid for six (6) months, from the time the Opportunity is accepted.


Opportunity Registration Process

  • The Opportunity that is being registered must be a Qualified Opportunity.
  • The Opportunity must be submitted using the online Opportunity Registration process.
  • Opportunities will not be considered unless the Opportunity Registration process is completed.
  • The Partner must be contractually permitted to offer the relevant services related to the Opportunity.

Symantec.cloud Commitments to Partner

  • Symantec.cloud will not bid directly for any Accepted Opportunity.
  • The Accepted Opportunity will remain valid for a period of six (6) months from the date of acceptance.
  • If the Opportunity is not closed (i.e. order not placed) after six (6) months, the Partner has the ability to extend the Accepted Registration but should do so prior to expiration..
  • Symantec.cloud will not refer a Registered Opportunity to any other Partner. If more than one Partner is competing for the same Opportunity, Symantec.cloud will notify all Partners involved and provide sales support to all Partners.
  • If the Opportunity contacts Symantec.cloud directly then Symantec.cloud will notify the Partner.

Pricing & Compensation

  • The Symantec.cloud direct sales team will not provide pricing to an Opportunity.
  • Symantec.cloud will notify Partner if the Opportunity chooses to purchase services from Symantec.cloud directly and provide explanation of Opportunity’s reason to purchase directly where possible. If the Opportunity purchases services directly from Symantec.cloud, then Partner will receive a commission of fifteen percent (15%) of the first year revenue.
  • Partners may request special bid pricing in competitive situations. The request should be submitted to the Symantec.cloud Partner Account Director, who will manage the approval process. Special bid pricing is available competitive situations only, and cannot be used to under-price another Partner or an existing direct Symantec.cloud bid.
  • Special bid pricing is not transferrable and not available to all Partners relating to the Accepted Opportunity.

Change of Channel

  • For a Change of Channel to occur, the customer must terminate either the existing direct relationship with Symantec.cloud or the existing Partner relationship in accordance with the terms of the agreement under which the customer receives services.
  • Symantec.cloud will process the new Partner’s order upon expiry of customer’s termination notice (if services were previously direct from Symantec.cloud) or upon expiry of the existing Partner’s termination notice (if services were previously obtained from another Partner).
  • Opportunities that require a Change of Channel must be registered via the process outlined above and will be subject to approval by Symantec.cloud.

Definitions

  • “Accepted Opportunity” means an Opportunity that has been submitted for Registration and accepted by SHS.
  • “Change of Channel” means a customer’s decision to move from: (i) a direct relationship with Symantec.cloud to a channel relationship whereby customer receives services through a Partner; or (ii) a relationship with an originating Partner to a relationship with a new Partner.
  • “Opportunity” means: (i) an incremental, partner-originated piece of business to Symantec.cloud as a sales opportunity with a new end-user customer; (ii) a sales opportunity for additional services within an existing customer. Partners must be actively engaged in the opportunity at the time of registration. (iii) there is no existing opportunity recorded in the Symantec.cloud CRM system
  • “Opportunity Registration” means the Partner’s act of formally recording its Opportunity with Symantec.cloud as described in this Program Overview.
  • “Partner” means a party with an existing Symantec.cloud Partner agreement in effect with Symantec.cloud,
  • “Qualified Opportunity” means an Opportunity that has confirmed budget, decision maker, and time period.
  • “Symantec.cloud” means the Symantec.cloud Services Partner Account Director and the corporate entity he/she represents (e.g., MessageLabs®, Inc. or MessageLabs® Ltd, both subsidiaries of Symantec Corporation).

Participation Terms

“You” and “your” refers to the reseller organization submitting an Opportunity under the Program. Your participation in the Program is based on your agreement with these Participation Terms and compliance with all related process requirements. In each instance when you submit an opportunity, you agree to these Participation Terms, and represent you have the authority to agree to these Participation Terms on behalf of your reseller organization.

These “Participation Terms” consist of the then-current Program Overview, and the terms of your .cloud, Symantec Hosted Services or MessageLabs partner agreement, the terms of which are incorporated by this reference. Solely for purposes of this Program, and not for purposes of amending your partner agreement, this Program Overview will govern over your partner agreement terms, if there is a conflict between these documents. (See “Amendments to Program; Termination” for more information.)


Amendments to Program; Termination

Symantec.cloud reserves the right to vary the terms of this Program, or to cancel the Program, upon publishing notice of such amendment or cancellation. In the case of Program overview changes or Program cancellation, we will make reasonable efforts to provide Partner with at least thirty (30) days prior notification of the changes through republication of this Program overview or announcement of cancellation, as appropriate. However, any new changes or termination will not affect an Opportunity already submitted and accepted under the Program. If you do not agree with any Program Overview changes, Partner may reserve right to not submit new Opportunities under the Program.


Fraud and Collusion

Any partner organization found to be purposely submitting false information or colluding with Symantec.cloud sales personnel for purposes of obtaining program financial incentives is subject to immediate expulsion from the Opportunity Registration Program. This activity may lead to further action on behalf of Symantec.cloud or Symantec to recover damages.


Errors and Anomalies

Symantec.cloud assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction to or unauthorized alteration of reported Opportunities, or any electronically transmitted information in furtherance of the Program. Symantec.cloud is not responsible for (i) any problems or technical malfunctions of any telephone network or lines, computer on-line systems, servers, or provides, computer equipment, software; or (ii) the failure of any e-mail to be received by Symantec.cloud on account of technical problems or traffic congestion on the Internet or on Symantec.cloud’ partner website.
